Terms of Sale 

  1. INTRODUCTION. These terms of sale (“Terms”) are a legal agreement between United Global Coffee Solutions, Inc. (dba “Coffee Machine Depot USA”) on behalf of itself and its affiliates and subsidiaries (collectively “Company”) and you, and describe the rules and conditions by which you agree to upon purchasing a product from Company.
  1. PRODUCT INFORMATION. Company uses commercially reasonable efforts to describe its products accurately. However, Company does not warrant that the product descriptions or other content of its store are accurate, complete, reliable, current, or error-free. Company does not represent that any products sold in its store or on any website, Facebook site, mobile app, or other social media channel owned and/or operated by Company now or in the future (collectively and individually, the “Site”) meet certification standards for any jurisdiction. This includes, but is not limited to UL, CE, FCC, ETL and/ or NSF certification. Through the act of purchasing products from the Company, you represent that you understand there is a possibility the product you are purchasing might not have any electronic products testing certification.
  1. RETURN POLICY. 

    All returns must be initiated within 30 days of the Date of Purchase. Items will only be accepted if they are unused, in original condition, and returned in their original packaging. All approved returns are subject to a 20% restocking fee. The Buyer is responsible for all return shipping costs, as well as any associated fees or additional expenses.

     

    After 45 days from the Date of Purchase, the return window is closed. At that point, the Buyer is no longer eligible to return the goods or receive a refund for any uncollected items.

  1. LIMITS ON LIABILITY. Company shall not be responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any third party (including your company), as a result of or which may be attributable, directly or indirectly, to your use of any product purchased from Company. In particular, Company shall not be liable in any way to you or to any other person, firm or corporation whatsoever for any loss, liability, damage (whether direct or consequential), personal injury or expense of any nature whatsoever arising from your use of a product purchased from Company.
  1. PROFESSIONAL CONSULTATION. Company recommends that you consult with a professional in connection with the use and installation of any products, including without limitation, verification of the Electrical Plug Supplied and the Water Over Pressure. For instance: (i) “Electrical Plug Supplied” – Prior to installation and turning the machine on it is imperative that you employ a licensed electrician to confirm that the supplied plug is sufficient for the electrical voltage and amperage in your premises and that the plug meets all current rules, regulations and requirements governed by your city or state; ii) “Water Over Pressure” – Once you connect the braided hose to your main city water supply this should read five (5) bar of pressure or less. If the pressure is five (5) bar or more, then in order to prevent damage to your machine you must havea licensed plumber install a pressure regulator to prevent over pressure.
  1. WARRANTY DISCLAIMER. The products sold in the Company’s store and on the Company’s Site are provided ‘as is’ and without warranties of any kind, whether express or implied, unless noted otherwise. To the fullest extent permissible pursuant to applicable law, Company disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement. Company does not represent or warrant that the functions of the products purchased from its store will be uninterrupted or error-free.
  2. LIMITED WARRANTY. Notwithstanding the foregoing Warranty Disclaimer, Company shall provide the following limited warranties on New and Used Products:
  • (A) New Product Limited Warranty - Company warrants all NEW products shall be free from defect in material and workmanship and shall carry a parts-only warranty for a period of twelve (12) months from the date of shipment.
  • (B)Used Product Warranty - Company warrants all USED products shall be free from defect in material and workmanship and shall carry a parts-only warranty for a period of three (3) months from the date of shipment.
  • (C) The foregoing New and Used Product Warranties shall NOT cover products (and parts thereto) damaged by accident, abuse and/or improper use. Improper use of includes, but is not limited to, using inadequately conditioned water (water must remain at 2 – 3 GPG) and the operation of products without adequate water supply. All damage resulting from inadequate water conditioning is expressly excluded from the foregoing warranties. Damage resulting from improper installation of the products is also expressly excluded from the foregoing warranties as well as items of a wear and tear nature including without limitation portafilter gaskets, inserts, and diffusion screens. WARRANTY CLAIMS MUST BE AUTHORIZED BY A COMPANY REPRESENTATIVE PRIOR TO REPAIR OR REMEDIAL ACTION.
  • (D) Company’s sole responsibility and liability under the above Limited Warranties set forth herein is limited to, in Company’s sole discretion, repair or replacement of any defective parts, excluding labor, unless otherwise specified. Furthermore, the foregoing Limited Warranty is limited to you (the direct purchaser of Company products), and Company does not, directly or indirectly, make or extend any warranty to your customers or any other person.
  1. IDEMNIFICATION. You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, agents, licensors and suppliers from and against all losses, expenses, damages and costs, including reasonable attorney’s fees, resulting from any violation of these terms of sale or any activity related to your account (including negligent or wrongful conduct).
  1. ENFORCEABILITY. These Terms shall be construed in accordance with the laws of the State of California, U.S.A., without regard to any conflict of law provisions. Any dispute arising under this Agreement shall be resolved exclusively by the state and/or federal courts of the State of California, U.S.A. By purchasing a product from Company, you agree and submit to the personal jurisdiction and venue of such courts. You agree that in the event you have or may have any alleged claim against Company or any of our vendors, contractors, licensees, or licensors, you shall pursue such claim only in your individual capacity, and you shall not agree to join or be a part of any class action, consolidated action, or similar action. You also agree that your damages are limited as set forth elsewhere in these Terms and that you are not eligible to receive, and shall not seek, attorney’s fees in relation to any claim you have or may have against Company or its vendors or licensors.
  1. TERMINATION: These terms and conditions are applicable to you upon your completing a purchase through the Company’s store. These terms and conditions, or any part of them, may be terminated by Company without notice at any time, for any reason. The provisions relating to Warranty Disclaimer, Limitation of Liability, and Indemnification, shall survive any termination.
